Terms and Conditions
	To be an authorized affiliate of US Credit Sales, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the US Credit Sales service as an affiliate. By signing up for the US Credit Sales affiliate program, you indicate your acceptance of this agreement and its terms and conditions. This WEBSITE REFERRAL AGREEMENT is made effective on this day for all purposes by and between US Credit Sales Inc., a Georgia corporation hereafter referred to as “USCS”, and affiliate hereafter referred to as “Affliliate”. WITNESSETH: WHEREAS, USCS and Affiliate are engaged in the activity of procuring and providing electronic applications for loans for US Credit Sales of Georgia, Inc., a Georgia corporation hereafter referred to as “USCS”, by directing applicants to web sites and/or the application forms associated with USCS. WHEREAS, the parties hereto desire to set forth certain agreements and obligations relating to the business activities of such procurement and referral all as more particularly set forth herein; NOW, THEREFORE, in consideration of the mutual covenants and obligations hereof and other valuable consideration, the receipt and sufficiency of which are confirmed, the parties hereto agree as follows: 1. Access to Loan Application. Each party, respectively, shall provide unrestricted and confidential access to the USCS loan application materials in electronic format or otherwise, and the parties each agree to require no information from the other to be submitted conditional to accessing the application process. 2. Commissions. Both parties agree that a commission in the amount of thirty percent (30%) of the gross profit which is made as a direct result of referrals attributed to Affiliate, will be paid by the end of the month following the month in which the loan or loans were disbursed. 3. Noncompetition and Noncircumvention. Each of USCS and Affiliate covenant and agree to and for the benefit of USCS, as follows: (a) “Confidential Information” as used herein shall mean all information and opportunities, including the loan application process and content, and contacts with all prospective loan applicants and others in a position to refer or promote loan applicants, disclosed or made available by USCS, whether in writing or otherwise, to USCS or Affiliate. 4. Miscellaneous. This Agreement shall be construed and enforced in accordance with the laws of the State of Nevada without regard to conflicts of law statutes. In any proceeding or action taken by any party hereto, or USCS as a third party beneficiary, for the enforcement of this Agreement, the prevailing party shall be entitled to attorneys’ fees and other costs of litigation in addition to all other remedies at law or in equity. USCS is expressly acknowledged to have an interest in the observance and performance of the terms and conditions hereof, and is accordingly expressly granted third party beneficiary status hereunder for purposes of enforcing and protecting its interests under this Agreement. 5. Termination. Either party hereto may terminate this Agreement at any time by giving the other a 30 day written notice of their intention to do so, with or without cause, except if Affiliate violates the terms of this agreement, in which case USCS reserves the right to terminate the agreement immediately.
